1. Agreement to these Terms

These Terms of Service (“Terms”) govern access to and use of the Pay Engineers website, intelligent configurator, processor-order flows, Stripe Connect workspace, authorizations & compliance tools, document portal, support messaging, blog and related online services (together, the “Platform”), as well as the general conditions under which we sell professional payment-infrastructure services.

By browsing the Platform, creating an account, submitting a configurator or order, starting a compliance request, linking a Stripe account through our workspace, exchanging documents, or otherwise using our services, you agree to these Terms. If you use the Platform on behalf of a company, you represent that you have authority to bind that company, and “you” includes that entity.

If you do not agree, do not use the Platform. Specific statements of work, proposals, MSAs, order confirmations and invoices may add commercial terms; those documents prevail over these Terms for the scoped engagement where they conflict, except that Platform usage rules, acceptable use and IP clauses in these Terms still apply unless expressly varied in writing.

2. Who Pay Engineers is

Pay Engineers is an independent payment engineering practice founded in 2012. We design and build proprietary payment processors, gateways, wallets, acquiring and settlement logic, marketplace split-payment engines and related fintech platforms. We are not a generic consumer PSP reseller and we do not claim to replace your bank, EMI licence or card-scheme membership where those are legally required for your business.

Our public materials (about pages, case-style content, configurator recommendations and blog articles) are informational. They do not constitute legal, regulatory, tax or investment advice. Licensing, PCI DSS certification and scheme approvals remain your responsibility unless a signed contract expressly includes those workstreams.

3. Description of Platform features

Without limiting future product evolution, the Platform currently enables users to:

  • Explore services, resources and Stripe workspace information on the public site.
  • Run the intelligent payment-processor configurator, receive an architecture-oriented report and optionally convert it into a processor order.
  • Submit and track processor orders and related project communications.
  • Request authorizations & compliance support, publish technical parameters and validate connections.
  • Use Stripe Connect workspace features when eligible (subject to Stripe’s own terms).
  • Exchange documents (outbound files, signature flows, inbound uploads, generated contracts).
  • Open support tickets (authenticated) or submit complaints & claims (including as a guest).
  • Pay invoices through the payment methods we enable for your account.

4. Accounts, eligibility and onboarding

Certain features require a registered account and email verification. You must provide accurate information, keep credentials confidential and promptly update details that affect billing or compliance. You are responsible for activity under your account, except where unauthorised access results from a security failure solely attributable to us.

We may refuse, suspend or terminate accounts that appear fraudulent, abusive, inaccurate, or that create unacceptable legal or security risk. Onboarding may require acceptance of this Privacy Policy version and related notices before full portal access is granted.

5. Configurator, estimates and non-binding outputs

The intelligent configurator helps align stakeholders on scope, complexity, recommended stack and indicative budget/timeline ranges. Reports, scores and estimates are decision-support tools — not fixed quotes, guarantees of regulatory approval, or commitments to deliver a production processor for a set price unless confirmed in a written commercial offer.

Draft configurations may be incomplete. Administrators may delete configurations (including drafts and PDFs). Converting a configuration to an order does not by itself create a full MSA; commercial acceptance still follows our quoting and contracting process.

6. Orders, professional services and deliverables

Custom payment infrastructure work is delivered under proposals, SOWs or order confirmations that define scope, assumptions, responsibilities, milestones, acceptance criteria and fees. Change requests outside that scope may require revised pricing and timelines.

Unless otherwise agreed in writing: (a) pre-existing Pay Engineers methodologies, frameworks, libraries and tools remain our intellectual property; (b) client-specific deliverables and licence terms are as stated in the contract; (c) you receive the rights needed to operate the delivered system for your internal business purposes under that contract.

You remain responsible for providing timely inputs (requirements, environments, test credentials, compliance evidence, stakeholder availability). Delays on your side may shift delivery dates without constituting a breach by Pay Engineers.

7. Compliance, licences and technical parameters

The authorizations & compliance area helps organise regulatory packages, certificates and secure technical onboarding. Publishing parameters or validating a connection does not mean Pay Engineers has obtained a licence on your behalf, certified your PCI scope, or approved your business model with any regulator or scheme.

You must protect API keys and secrets displayed or stored in the Platform. Rotate credentials if exposure is suspected. We may revoke or rotate parameters for security reasons and will notify the relevant client contacts when practical.

8. Stripe Connect workspace

Where we offer a Stripe Connect workspace, it is a convenience layer for linking and operating Stripe-related workflows inside Pay Engineers. Stripe is a separate service provider. Your use of Stripe is governed by Stripe’s terms, connected-account agreements and privacy notices.

Packs, subscriptions or admin actions inside Pay Engineers do not modify Stripe’s direct relationship with you unless expressly stated. Soft-deleting a connection in Pay Engineers may remove our local record without closing your Stripe account.

9. Documents and contracts

Document exchanges allow us to send files, request uploads and generate contracts from templates. You must ensure uploaded content is accurate, lawful and free of malware. Cancelling an exchange closes the workflow; permanent deletion (when performed by an administrator) removes the exchange and associated files from the Platform.

Electronic documents and signatures facilitated through the Platform do not automatically create a binding contract unless the parties intended to be bound and applicable law recognises that form. Always retain copies of signed agreements outside the Platform for your records.

10. Fees, invoices and payments

Professional fees are set out in quotes, SOWs or invoices. Platform catalogue prices (where shown) may change. Invoices are payable by the due date using the payment methods enabled for your account (for example card or crypto rails configured by our administrators).

Late payment may result in suspension of delivery, portal features or support until amounts due are settled, without prejudice to other remedies. Taxes are added where required. Chargebacks or payment disputes should be raised promptly with supporting detail.

11. Acceptable use

You agree not to misuse the Platform. Prohibited conduct includes, without limitation:

  • Attempting to gain unauthorised access to accounts, admin tools, documents or other clients’ data.
  • Uploading unlawful, infringing, deceptive or harmful content.
  • Using the configurator, orders or compliance tools to facilitate illegal payment activity, sanctions evasion or fraud.
  • Reverse engineering, scraping at abusive scale, or reselling Platform access without permission.
  • Interfering with security, rate limits, or availability of the service.
  • Impersonating Pay Engineers staff or misrepresenting your affiliation.

12. Support, complaints and communications

Authenticated users can open support tickets; we may also send one-way administrative messages. Guests may submit complaints and claims through the public complaints channel. We aim to respond within a reasonable business timeframe (often within one business day for contact form inquiries), but response times are not contractual SLAs unless your SOW says otherwise.

Operational and security emails are part of the service. Marketing emails require opt-in where required by law.

13. Confidentiality

Each party must protect the other’s confidential information (technical designs, pricing, non-public business data, credentials) and use it only to perform the relationship. Exceptions include information that is public, independently developed, rightfully received from a third party without duty of confidence, or required to be disclosed by law (with notice where legally permitted).

Configurator outputs and project materials shared with you remain confidential to the engagement unless we agree otherwise in writing.

14. Intellectual property

The Platform (software, UI, documentation, trademarks, blog content, resource libraries) is owned by Pay Engineers or its licensors. You receive a limited, revocable, non-exclusive licence to use the Platform for its intended purposes while your account is in good standing.

You retain ownership of materials you lawfully upload. You grant us a licence to host, process and display those materials as needed to provide the features you use. Feedback you provide may be used to improve our products without obligation to you.

15. Warranties and disclaimers

We provide the Platform with reasonable skill and care. Except as expressly stated in a signed contract, the Platform and informational materials are provided “as is” and “as available”. We do not warrant uninterrupted availability, that estimates will match final project economics, or that use of our tools alone will achieve regulatory approval or scheme certification.

To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement regarding free Platform features and marketing content.

16. Limitation of liability

To the maximum extent permitted by applicable law, Pay Engineers’ aggregate liability arising out of or relating to the Platform under these Terms is limited to the greater of (a) the fees you paid to us for the specific Platform-related paid service giving rise to the claim during the three (3) months preceding the event, or (b) one hundred euros (EUR 100) for unpaid Platform use.

We are not liable for indirect, incidental, special, consequential, lost profits, lost data, or business interruption damages, except where liability cannot be limited by law (for example fraud, willful misconduct, or death/personal injury caused by negligence where such limits are prohibited).

Liability for contracted professional services is governed by the applicable MSA/SOW; if silent, the limitation above applies as a baseline.

17. Indemnity

You agree to indemnify and hold Pay Engineers harmless from claims, losses and expenses (including reasonable legal fees) arising from your misuse of the Platform, your uploaded content, your violation of these Terms or law, or your failure to obtain rights/consents needed to share personal data or materials with us.

18. Suspension and termination

You may stop using the Platform at any time. We may suspend or terminate access for breach, legal risk, non-payment, or to protect the Platform and other users. Upon termination, your licence to use the Platform ends; provisions that by nature should survive (IP, confidentiality, liability limits, accrued payment obligations) remain in effect.

Export of your project data may be available through portal features or upon reasonable written request, subject to security verification and any outstanding fees.

19. Changes to the Platform and to these Terms

We may improve, add or remove Platform features. Where a change materially reduces a paid Platform capability you actively rely on, we will use reasonable efforts to provide notice.

We may update these Terms by posting a revised version with a new “Last updated” date. Continued use after the effective date constitutes acceptance, except where mandatory law requires explicit consent. If you disagree with material changes, stop using the Platform and contact us to discuss active paid engagements.

20. Governing law and disputes

Unless a signed contract specifies otherwise, these Terms are governed by the laws applicable at Pay Engineers’ principal place of business, without regard to conflict-of-law rules. Courts of that place have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect IP or confidential information.

Before filing a claim, please contact us via the Contact page so we can attempt an amicable resolution. Consumers with mandatory local rights retain those rights where they cannot be waived.
